Terms of Service

1. Agreement to Terms
By accessing or using the YARDtwin™ platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
2. Description of Service
YARDtwin is a cloud-based yard management platform that provides:
- Dock scheduling and appointment management
- Gate check-in and check-out automation
- Digital twin yard visualisation
- Carrier and driver management
- GMP-compliant audit trail and compliance tools
- Analytics, reporting, and integration capabilities
The Service is provided "as is" and we may update, modify, or discontinue features with reasonable notice.
3. Account Registration
To use the Service, you must create an account by providing accurate and complete information. You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Promptly notifying us of any unauthorised access
- Ensuring all users added to your organisation comply with these Terms
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription Plans and Payment
4.1 Free Trial
New accounts receive a 30-day free trial with full access to all features. At the end of the trial, you must select a paid plan to continue using the Service.
4.2 Paid Plans
Every plan grants full product access. Each subscription covers a single site.
- Standard — €299/month per site, fixed monthly fee. Annual billing €3,050/year (15% off the monthly equivalent).
- Founder — €199/month per site, rate locked for 24 months from sign-up. Limited to the first 25 customers to convert from trial to paid. Annual billing €2,030/year (15% off).
- Per-Truck Usage — €0.99 per truck received at the gate. No monthly fixed fee. Best for sites with low truck volumes.
4.3 Billing
- Subscriptions are billed via Stripe. The card you provide is charged on the billing date for the upcoming period (Standard / Founder) or in arrears for the previous month (Per-Truck Usage).
- Annual prepayment for Standard or Founder: 15% discount versus monthly.
- Per-Truck Usage is billed monthly in arrears for trucks received in that calendar month.
- Founder pricing is a rate locked for 24 months from sign-up. If you cancel and later return, Founder pricing is no longer available and Standard pricing applies.
- Payments are non-refundable except as required by law. Annual prepayment refunds are pro-rata within the first 14 days of any annual charge.
4.4 Overdue Payments
- If payment fails, we will retry automatically over the following 14 days
- After 14 days of failed payment, your account enters a grace period of up to 3 months
- During the grace period, you retain read-only access to your data
- After 3 months of non-payment, your account is suspended
- Reactivation requires payment of the outstanding balance plus the next month's fee
- Data is retained for 12 months after suspension before deletion
5. Data Ownership
You retain all ownership rights to the data you upload, enter, or generate through the Service ("Your Data"). We do not claim any ownership of Your Data.
You grant us a limited licence to process, store, and transmit Your Data solely for the purpose of providing the Service.
Upon termination of your account, you may request an export of Your Data within 30 days. After 30 days, we may delete Your Data in accordance with our data retention policy.
6. Data Processing and Security
We process your data in accordance with our Privacy Policy and GDPR Policy.
- All data is encrypted in transit (TLS 1.2+) and at rest
- Hosted on Microsoft Azure infrastructure in Sweden Central and Norway East (European Economic Area)
- PostgreSQL Flexible Server with point-in-time recovery (7-day window)
- Field-level encryption (AES-256-GCM) for biometric data (driver licence images, signatures) with keys held in Azure Key Vault
- Tenant isolation enforced on every API route — verified by automated cross-tenant audit on every release
- Role-based access control (admin, ops_manager, gate_guard, warehouse_operator, carrier, super_admin)
- GMP-compliant audit trail for all operations (21 CFR Part 11, EU GMP Annex 11)
- Multi-factor authentication via SSO (Google and Microsoft) for administrator accounts
6a. Customer References and Marketing
By creating an account with YARDtwin, you grant us the right to display and share your company name and logo as a customer of YARDtwin in marketing materials, on our website, in customer lists, in case studies, in investor communications, and in similar promotional contexts.
This right covers your company name, logo, and the fact that you are a YARDtwin customer. It does not extend to any of your operational data, your customers' data, your drivers' personal data, or any commercially sensitive information about your operations.
You may opt out of this customer-reference use at any time by emailing admin@yardtwin.com. We will remove your company from public-facing references within 30 days of receipt of your request and will not use your name in new materials thereafter.
6b. Smart Slots Recommendations and Break Windows
The Service includes Smart Slots, a feature that recommends appointment times based on operational factors including dock compatibility, staffing windows, existing bookings, and Break Windows configured by you (the Customer).
Recommendations are advisory unless your site administrator has configured Strict mode, in which case only recommended slots are bookable. Break Windows configured by you are enforced at runtime such that no truck activity (gate-in, dock work, or gate-out) will occur during a configured Break Window; trucks scheduled to be active during a Break Window will wait until the Break Window ends.
You remain responsible for all booking decisions, all Break Window configurations, and any operational, contractual, or commercial consequences thereof. YARDtwin Ltd makes no warranty that Smart Slots will produce specific cost savings or operational outcomes. Full details are available on the Smart Slots page.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to gain unauthorised access to other accounts or systems
- Interfere with or disrupt the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Use automated tools to scrape, crawl, or extract data from the Service
- Share your account credentials with unauthorised individuals
- Upload malicious content, viruses, or harmful code
8. Service Level Agreement (SLA)
We target 99.9% uptime for the Service, measured monthly. This excludes:
- Scheduled maintenance (notified at least 24 hours in advance)
- Force majeure events beyond our reasonable control
- Issues caused by your equipment, network, or third-party integrations
If uptime falls below 99.9% in any calendar month, paid-plan customers (Standard, Founder, Per-Truck) may request a service credit of 5% of that month's fee per hour of downtime, up to a maximum of 50% of the monthly fee. For Per-Truck customers, the service credit is calculated against the previous month's billed usage.
9. Integrations and Third-Party Services
The Service supports integrations with third-party systems including ERP, WMS, TMS, ANPR cameras, and temperature sensors. You are responsible for:
- Configuring integrations correctly
- Ensuring your third-party systems comply with their own terms of service
- The accuracy of data sent to YARDtwin via integrations
We are not liable for data loss, errors, or service disruptions caused by third-party integrations.
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability is limited to the fees you have paid in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, consequential, or punitive damages
- We are not liable for loss of profits, data, or business opportunities
- We are not liable for delays, errors, or losses caused by third-party integrations, carrier performance, or external systems
11. Intellectual Property
The Service, including its design, code, documentation, and branding, is owned by YARDtwin Ltd and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service.
YARDtwin™ is a trademark of YARDtwin Ltd. You may not use our trademarks without prior written consent.
12. Termination
Either party may terminate this agreement:
- By you: Cancel your subscription at any time from Settings > Billing. Access continues until the end of the current billing period.
- By us: We may suspend or terminate your account for violation of these Terms, non-payment, or if required by law. We will provide reasonable notice where possible.
Upon termination, your right to use the Service ceases immediately. You may request a data export within 30 days of termination.
13. Governing Law
These Terms are governed by the laws of Ireland. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
